The Human Resources Mergers & Acquisitions Lead is responsible for the HR due diligence on potential acquisition targets, the HR on boarding of employees for closed acquisitions and for the mechanization of the entire merger, acquisition and divestiture process from a HR perspective. The role works with 10-12 person cross functional team to assess the risk profile of a potential target acquisition, and leads 5-15 person cross-HR teams to smoothly on board people impacted by that transaction. Responsibilities include assessing company acquisition risk, documenting findings, influencing leadership, coordinating HR resources and developing tools and resources to ensure the process is executed efficiently and effectively. This Mergers & Acquisition Lead will be expected to:

  • Facilitate the corporate HR mergers and acquisitions due diligence process

  • HR point of contact for business development on acquisitions and divestiture activity

  • Obtain, review and analyze information within data room often on tight deadlines

  • Assess and communicate identified risks. Identify possible mitigation plans

  • Create due diligence report(s) that inform the Deal Team of potential HR issues

  • Communicate issues to management and/or HR senior business partners as they are identified

  • Partner with business development to build awareness on common HR issues

  • Ensure the proper retention of diligence documentation

  • Facilitate the corporate HR acquisition integration process

  • Lead the cross-HR team through integration planning

  • Articulate and resolve issues with broader HR integration team

  • Facilitate onboarding process aligned with local regulations

  • Resolve lingering issues post onboarding; Transfer responsibilities to SBP’s and local HR

  • Perform after action review to improve the process

  • Develop tools and processes to mechanize the HR M&A process

  • Develop templates and check lists to enable the M&A process

  • Identify and document critical partners across the due diligence and integration process

  • Develop education materials to onboard due diligence, line HR and HR COE partners

  • Partner with Sr. Advisor and Executive Compensation team on specialized projects

  • Perform detailed modelling to inform leadership decision making

  • Improve Executive Compensation electronic tools to encompass added functionality and capability

  • Limited travel

  • Prior work experience in finance or working alternative with complex financial transactions

  • Prior work experience leading regional/global project design and implementation

  • Knowledge of the roles and responsibilities within the Lilly HR organization

Basic Qualifications:

  • Bachelor’s Degree in HR, Business, Finance, or related field.

  • 5+ years of relevant work experience OR 3+ years of relevant work experience with an MBA
